4. Proposals, Orders & Payments
All projects begin with a written proposal or quotation outlining scope, fees, and timelines.
Payments are due as per the agreed schedule (e.g., upfront deposits, milestone payments, or subscription fees).
Invoices are payable via approved payment methods (e.g., bank transfer, Stripe, PayPal).
Late payments may incur penalties or suspension of services.
5. Delivery & Timelines
Project delivery timelines are agreed in advance but may vary depending on client responsiveness and project complexity.
Clients are responsible for providing required content, feedback, and approvals on time.

6. Refund & Cancellation Policy
Deposits and service fees are non-refundable once work has commenced.
Cancellations must be made in writing. Any completed work or expenses up to the date of cancellation will be invoiced.
Ongoing marketing retainers may be terminated with [30 days] written notice.
7. Intellectual Property
All intellectual property created (e.g., websites, designs, code, marketing materials) remains the property of IDP Explore Limited until full payment is received.
Upon full payment, ownership of final deliverables is transferred to the client unless otherwise agreed.
We reserve the right to showcase completed work in our portfolio and marketing materials.
8. Client Responsibilities
Clients must ensure all content, materials, and information provided do not infringe third-party rights.
Clients are responsible for obtaining licenses for any images, fonts, or software not supplied by us.
The client agrees not to misuse our work or services in unlawful or unethical ways.
9. Limitation of Liability
We make no guarantees of specific results (e.g., top search engine rankings, revenue growth) unless explicitly stated.
We are not responsible for indirect damages, loss of revenue, or data loss resulting from use of our services.
Our liability is strictly limited to the total amount paid by the client for the specific service in question.
10. Confidentiality
Both parties agree to keep confidential information, trade secrets, and proprietary materials secure and not disclose them to third parties, unless required by law.
11. Privacy
We collect and process client information in accordance with our Privacy Policy, which forms part of these Terms.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of Hong Kong SAR (or your preferred jurisdiction).
Any disputes shall be settled amicably first. If unresolved, disputes shall be referred to the courts of Hong Kong.
